These Terms of Service ('Terms') govern your use of our website and the professional software development services we provide, including web design, web development, mobile application development, enterprise software solutions, and related consulting. By visiting our website or entering into a service engagement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are engaging our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Limitless Taps provides custom software development services to businesses and individuals. Our core offerings include, but are not limited to, custom web application development, mobile app development (iOS and Android), UI/UX design, CMS implementation, enterprise software integration, and technical consulting. The precise scope of work, deliverables, acceptance criteria, project milestones, and timelines for any engagement are defined in a written Statement of Work (SOW) or Project Proposal agreed upon by both parties prior to commencement. Any changes to the agreed scope must be submitted in writing and are subject to a formal change order process, which may affect cost and delivery timelines.

Upon receipt of full payment for all agreed fees, Limitless Taps assigns to the Client full ownership rights over the custom-developed code, designs, and deliverables created exclusively for that project. Limitless Taps retains ownership of all pre-existing intellectual property, proprietary frameworks, development tools, and general methodologies ('Background IP') used in creating your deliverables. The Client is granted a perpetual, non-exclusive, royalty-free license to use such Background IP solely as embedded within the delivered solution. Any third-party open-source components included in deliverables are governed by their respective licenses, which will be disclosed upon request. Limitless Taps reserves the right to showcase completed work in its portfolio unless the Client requests otherwise in writing.

Either party may terminate a service engagement in accordance with the terms outlined in the applicable project contract or Statement of Work. Limitless Taps reserves the right to suspend or terminate services immediately — without liability — in cases of non-payment beyond agreed terms, material breach of these Terms, or conduct that is unlawful or harmful to our team. Upon termination by either party, the Client is obligated to pay for all work completed, including work in progress, up to the termination date. Limitless Taps will deliver all completed deliverables and work-in-progress materials upon receipt of final payment. Pre-payments for unstarted work phases may be refunded at Limitless Taps's discretion, subject to any costs already incurred.

These Terms of Service and any disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of the jurisdiction in which Limitless Taps is registered and operates. Both parties agree to first attempt to resolve any dispute informally through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, either party may pursue formal legal remedies. Any legal proceedings shall be brought exclusively before the competent courts of the jurisdiction where Limitless Taps operates, and both parties consent to the personal jurisdiction of such courts. Nothing in these Terms shall limit either party's right to seek injunctive or equitable relief in any jurisdiction.
